1. ACCEPTANCE OF TERMS
Welcome to Converf. These Terms of Service ("Terms") govern your access to and use of the Converf platform, website, and services (collectively, the "Platform"). By creating an account, accessing, or using Converf, you agree to be bound by these Terms.
If you do not agree to these Terms, you may not access or use the Platform.
Converf Technologies Limited ("Converf," "we," "us," or "our") reserves the right to modify these Terms at any time. We will notify users of material changes via email or through the Platform. Your continued use after such modifications constitutes acceptance of the updated Terms.
2. PLATFORM OVERVIEW
2.1 Services Provided
Converf is a Pan-African construction management platform that provides:
- Intelligent quality assurance and quality control (QA/QC) systems
- Real-time quality scoring algorithms (0-100% scale)
- Ball-in-Court accountability tracking
- Multi-phase construction project management
- Automated certificate generation upon project completion
- Standards compliance tools (ASTM, ISO, AASHTO, and regional standards)
- Document management and collaboration tools
- Traffic light quality monitoring system
2.2 Geographic Scope
Converf operates across all 54 African countries. Services may vary by country due to local regulations, infrastructure availability, and regional requirements.
2.3 Platform Purpose
Converf is designed to facilitate construction project management through technology. We provide tools and systems but do not directly provide construction services, materials, or labor.
3. USER ACCOUNTS AND ELIGIBILITY
3.1 Account Types
Converf supports two primary account types:
- Project Owners: Individuals or organizations managing construction projects
- Contractors/Builders: Construction professionals executing projects
3.2 Eligibility Requirements
To use Converf, you must:
- Be at least 18 years of age or the age of majority in your jurisdiction
- Have the legal capacity to enter into binding contracts
- Provide accurate, current, and complete information during registration
- Maintain the security of your account credentials
- Comply with all applicable laws and regulations in your jurisdiction
3.3 Account Registration
You agree to:
- Provide truthful and accurate information
- Maintain the confidentiality of your login credentials
- Notify us immediately of any unauthorized account access
- Be responsible for all activities that occur under your account
- Use only one account per individual or organization
3.4 Account Suspension and Termination
We reserve the right to suspend or terminate accounts that:
- Violate these Terms
- Engage in fraudulent or illegal activities
- Provide false information
- Abuse the Platform or other users
- Remain inactive for extended periods
3.5 Contractor Verification Requirements
For Contractor/Builder Accounts: Contractors must complete a verification process within 7 days of registration.
Required Documentation:
- Valid government-issued identification (National ID, Driver's License, or Passport)
- Business registration certificate (CAC certificate or equivalent)
- Tax Identification Number (TIN) certificate
- Professional license or certification (if applicable in your region)
- Proof of past projects (photos, completion certificates, or client references)
- Proof of business address (utility bill, lease agreement, or official correspondence)
Verification Process:
- Documents must be clear, legible, and current
- Information must match registration details
- Verification typically completed within 3-5 business days
- Unverified accounts have limited Platform access
- Accounts not verified within 30 days may be suspended
Document Security:
- All verification documents are encrypted and stored securely
- Documents are used solely for verification purposes
- Access is restricted to authorized verification staff
- Documents are retained according to regulatory requirements
Ongoing Compliance:
- Contractors must update information when business details change
- Re-verification may be required annually or when significant changes occur
- False documentation results in immediate account termination
Verification Status:
- ✅ Verified: Full Platform access, can bid on projects
- 🟡 Pending Verification: Limited access, cannot bid on projects
- ❌ Verification Failed: Account suspended pending correction or appeal
4. QUALITY SCORING SYSTEM
4.1 Algorithm Transparency
Converf's quality scoring algorithm analyzes project data based on:
- Test results (40% weighting)
- Inspections (25% weighting)
- Documentation (20% weighting)
- Sign-offs (15% weighting)
4.2 Traffic Light System
Projects receive quality indicators:
- 🟢 GREEN (90-100%): Excellent quality
- 🟡 YELLOW (75-89%): Good quality, minor attention needed
- 🔴 RED (Below 75%): Critical issues requiring immediate action
4.3 Limitations
Quality scores are computational assessments based on data input. They do not replace professional judgment, on-site inspections, or compliance with building codes. Users are responsible for ensuring all work meets applicable safety and quality standards.
4.4 Data Accuracy
Users are responsible for the accuracy and completeness of data entered into the Platform. Converf is not liable for quality scores based on inaccurate, incomplete, or misleading information.
5. BALL-IN-COURT ACCOUNTABILITY
5.1 Responsibility Tracking
The Ball-in-Court system assigns and tracks responsibility for tasks and milestones. This system:
- Identifies current responsibility holders
- Tracks pending tasks and overdue items
- Provides alerts and notifications
- Creates an accountability chain
5.2 User Obligations
Users assigned responsibility must:
- Acknowledge receipt of assignments
- Update status in a timely manner
- Communicate delays or issues promptly
- Transfer responsibility appropriately when tasks are completed
6. CERTIFICATES AND COMPLIANCE
6.1 Certificate Generation
Converf automatically generates certificates when projects meet all nine mandatory criteria. Certificates indicate Platform-tracked completion but do not substitute for:
- Official government approvals
- Building permits or certificates of occupancy
- Professional engineer certifications
- Local authority inspections
6.2 Standards Compliance
While Converf provides tools to track compliance with ASTM, ISO, AASHTO, and regional standards, users are ultimately responsible for ensuring their projects comply with all applicable laws, regulations, and standards.
7. FEES AND PAYMENT
7.1 Pricing
Converf operates on a project-based pricing model ranging from $29–$149 per project, depending on project type, size, and features selected.
7.2 Payment Terms
- Fees are charged upon project creation or subscription activation
- All fees are non-refundable unless otherwise stated
- Prices are subject to change with 30 days' notice
- Payment may be made via supported payment methods in your country
7.3 Currency
Pricing is available in 54+ currencies to accommodate Pan-African operations.
7.4 Taxes
Users are responsible for all applicable taxes, duties, and governmental charges associated with their use of the Platform.
8. INTELLECTUAL PROPERTY
8.1 Platform Ownership
Converf retains all rights, title, and interest in and to the Platform, including:
- Software, algorithms, and quality scoring systems
- Trademarks, logos, and branding
- Documentation and training materials
- Platform features and functionality
8.2 User Content
You retain ownership of content you upload (photos, documents, project data). By using Converf, you grant us a worldwide, non-exclusive, royalty-free license to:
- Store and display your content on the Platform
- Process your content to provide Platform services
- Generate aggregated, anonymized data for platform improvement
8.3 Feedback
Any suggestions, feedback, or ideas you provide may be used by Converf without compensation or attribution.
9. USER CONDUCT AND PROHIBITED ACTIVITIES
9.1 Acceptable Use
Users must:
- Use the Platform lawfully and ethically
- Respect other users' rights and property
- Provide accurate project information
- Comply with all applicable construction standards and regulations
9.2 Prohibited Activities
Users may not:
- Upload false, misleading, or fraudulent information
- Manipulate quality scores through data falsification
- Harass, threaten, or defame other users
- Attempt to hack, compromise, or disrupt the Platform
- Use the Platform for illegal activities
- Resell or redistribute Platform access
- Create multiple accounts to circumvent restrictions
- Use automated tools to scrape or extract data
10. DATA PRIVACY AND SECURITY
10.1 Privacy Policy
Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference.
10.2 Data Security
While we implement industry-standard security measures, no system is completely secure. You acknowledge that data transmission over the internet involves inherent risks.
10.3 Data Backup
Users are responsible for maintaining their own backups of critical project data. Converf is not liable for data loss.
11. THIRD-PARTY SERVICES AND INTEGRATIONS
11.1 External Links
The Platform may contain links to third-party websites or services. We are not responsible for third-party content, policies, or practices.
11.2 Integrations
Third-party integrations are subject to their own terms and conditions. We are not liable for issues arising from third-party services.
12. WARRANTIES AND DISCLAIMERS
12.1 Platform Availability
We strive for 99.9% uptime but do not guarantee uninterrupted access. The Platform may be unavailable due to:
- Scheduled maintenance
- Technical issues
- Force majeure events
- Network or infrastructure problems
12.2 No Warranty
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
12.3 Professional Responsibility
Converf does not provide engineering, architectural, or construction professional services. Users must engage qualified professionals for design, permitting, and execution of construction projects.
12.4 Quality Assurance Limitations
While our quality scoring system provides valuable insights, it does not guarantee construction quality, safety, or compliance. Professional oversight and inspections remain essential.
13. LIMITATION OF LIABILITY
13.1 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONVERF'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE PLATFORM SHALL NOT EXCEED THE FEES YOU PAID TO CONVERF IN THE 12 MONTHS PRECEDING THE CLAIM.
13.2 Excluded Damages
CONVERF SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Construction defects, delays, or failures
- Bodily injury or property damage arising from construction activities
- Decisions made based on quality scores or Platform data
13.3 User Responsibility
Users acknowledge that:
- Construction projects involve inherent risks
- Professional judgment is essential
- Platform tools supplement but do not replace expertise
- Users are responsible for project outcomes
14. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Converf, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of the Platform
- Your violation of these Terms
- Your violation of applicable laws or regulations
- Your project activities or construction work
- Content you upload or submit
- Your interactions with other users
15. DISPUTE RESOLUTION
15.1 Governing Law
These Terms shall be governed by the laws of [PRIMARY OPERATING JURISDICTION – TO BE SPECIFIED], without regard to conflict of law principles.
15.2 Jurisdiction
- For users in Nigeria: Disputes shall be subject to the exclusive jurisdiction of courts in Lagos, Nigeria.
- For users in other African countries: Disputes shall be resolved according to the laws of the user's country of residence, with disputes subject to local jurisdiction.
15.3 Arbitration
For disputes involving amounts exceeding $10,000 USD equivalent, parties agree to first attempt resolution through binding arbitration in accordance with international arbitration rules.
15.4 Class Action Waiver
You agree to resolve disputes individually and waive the right to participate in class actions or collective proceedings.
16. FORCE MAJEURE
Converf shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including:
- Natural disasters
- War, terrorism, or civil unrest
- Government actions or regulations
- Internet or telecommunications failures
- Power outages
- Epidemics or pandemics
17. GENERAL PROVISIONS
17.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Converf regarding the Platform.
17.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
17.3 No Waiver
Failure to enforce any provision does not constitute a waiver of that provision or any other provision.
17.4 Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
17.5 Survival
Provisions that by their nature should survive termination (including warranties, disclaimers, limitations of liability, and indemnification) shall survive.
17.6 Language
These Terms are provided in English and may be translated into other languages. In case of conflict, the English version prevails.
